Chadbourne has extensive experience representing domestic and international financial institutions as arrangers, agents and lenders, as well as their companies, private funds and other entities as borrowers, in connection with syndicated credit facilities throughout the world. These transactions include both secured and unsecured revolving credit facilities, letter of credit facilities and term loans (frequently involving multi-currency tranches) for investment grade and non-investment grade borrowers. The purposes of these syndicated financings range from general working capital needs to liquidity backstops to acquisitions, which we have facilitated, along with other leveraged financings, on behalf of lenders and borrowers in a multitude of industries, including the conventional and renewable energy sectors, aerospace and defense, financial services, information technology, real estate and retail.
Chadbourne Represents Sponsor/Borrower in the Acquisition and Financing of Samalayuca Plant in Mexico
Chadbourne represented the sponsor and borrower, consisting of entities owned by the shareholders of Mexico Infrastructure Partners, in connection with the acquisition of Compañia Samalayuca II S.A. de C.V., owner of the Samalayuca power plant in Chihuahua, Mexico, and the approximately US$115 million financing of such acquisition provided by BTG Pactual. The project had been debt free since 2009 and the new financing is secured by substantially all of the assets of the borrower, including the cash flows from its lease with Comisión Federal de Electricidad.
First US Offshore Wind Farm
Chadbourne represented the lenders on the financing of the Block Island Wind Farm, the first utility-scale offshore wind farm in the United States. The Mandated Lead Arrangers for the approximately US$290 million financing were Société Générale and Key Bank. The Block Island Wind Farm is a 30 MW project off the coast of Block Island, Rhode Island. The project will use five Haliade 150-6 MW Alstom turbines, which are some of the largest turbines to be used in the US. The wind farm will generate over 125,000 MWh annually, enough to power over 17,000 homes. Power will be exported to the mainland electric grid via the 21-mile, bi-directional Block Island Transmission System, a submarine cable proposed to make landfall in Narragansett, Rhode Island. This transaction was named the 2015 "North American Wind Deal of the Year" by IJGlobal and the 2015 "Renewable Deal of the Year (Americas)" by Project Finance International.

Chadbourne represented Citibank, N.A., as administrative agent, in a US$200 million credit facility provided to GBG USA, Inc., the proceeds of which were used in connection with the IPO of Global Brands Group Holdings Ltd., a leading branded apparel, footwear, fashion accessories and related lifestyle product company.
Chadbourne Represents World Fuel in Expansion of Working Capital Credit Facility to US$1.26 Billion
Chadbourne represented World Fuel Services Corporation, a publicly traded fuel broker and related service provider, as borrower, in connection with the expansion of its working capital facility to US$1.26 billion, its obtaining of an additional US$100 million term loan, and various other amendments, including to the company’s financial covenants. The facility is secured by pledges of capital stock of the US borrowing entity and certain of the US guarantors.
