Anchor Retail Tenant Leasing. Represented top discount retailer in transactions with national and regional developers, and real estate investment trusts (REITs), for leases and purchases of space in new and existing shopping centers and in free-standing locations.
NYC Retail Leasing. Represented famous NYC toy retailer in a lease modification for the renovation of existing space and the expansion and redevelopment of a landmark building in NYC.
NJ Office Lease. Represented a leading professional services firm as tenant in large office lease transaction in NJ.
Ironwood Realty Corporation. Represented the owner of the ground lease covering 635 Madison Avenue, New York City in all matters, including management, financings, renovations and leasing.
Lowe Enterprises. Represented landlord in the negotiation of leases for a 315,000 square-foot multi-tenant warehouse and distribution facility in Los Angeles, California.
Value Line. Represented a tenant in its corporate headquarters lease in New York City.
National Discount Store Development. Represented a top national discount retail chain in ground lease developments for their expansion into new markets.
Bankruptcy sales and purchases. Represented debtor-sellers and purchasers of commercial property in Chapter 11 proceedings, including as:
- Purchaser of a landmark NYC restaurant building from bankrupt seller.
- Debtor in the sale, by auction, of a large manufacturing facility in Illinois.
- Purchaser of several supermarket properties (leased and owned) from bankrupt operator.
Apollo Real Estate Advisors. Represented the purchaser in the joint venture purchase of two Bronx housing complexes to be converted to co-ops. The deal was the first private financing of a Mitchell Lama co-op.
Core Value Partners, LLC. Organized and represented a fund focusing on investments in distressed assets, including the fund’s acquisition of over 100 Burger King restaurants.
Lowe Enterprises. Represented the developer in the acquisition and development of a luxury golf course community in Indian Wells, California.
Nearon Enterprises. Represented Nearon Enterprises in several developments and financings.
REIT international joint venture. Represented a publicly traded shopping center REIT in a joint venture with a local developer for the acquisition and development of a US$1 billion+ mixed use retail/residential project in East Asia.
REIT public tender offer. Represented joint venture, including a large multi-family US REIT, in a bid to acquire outstanding shares of another publicly traded multi-family REIT.
Kapalua Bay. Represented agent banks in restructuring the construction loan for the Ritz-Carlton Club and Residences at Kapalua Bay on Maui, Hawaii following the Lehman Brothers bankruptcy, including in connection with the foreclosure sale to a joint venture of Centerbridge Partners and Lehman Brothers.
NYC Office Building. Represented The Bank of Tokyo-Mitsubishi UFJ, Ltd. as lead arranger and administrative agent in a US$355 million for the Time & Life Building at 1271 Avenue of the Americas, New York, NY.
Real Estate Acquisition and Development Financings. Represented The Bank of Tokyo-Mitsubishi UFJ, Ltd. as lead arranger and administrative agent in US$500 million acquisition and development loan to an international real estate company for acquisition and pre-construction development costs for sites in New York, NY and Hoboken, NJ.
Bank of Nova Scotia. Represented lender in the refinancing of a hotel, convention center, theater and retail project in Charleston, SC.
Citigroup. Represented Citigroup as arranger, lender and/or agent in:
- US$1.2 billion refinancing of revolving and term loan facilities for a major US home builder (secured by over 10,000 individual properties in ten states).
- US$670 million securitized lease financing for the construction of the New York City world headquarters of a major financial institution.
- Master lease facility for convenience stores (over 150 sites nationwide).
- US$600 million securitized master lease financing for acquisition and construction of US and overseas manufacturing, distribution and office facilities for a computer manufacturing company.
- Sale-leaseback of six distribution centers for a Fortune 500 company.
Franchisee Acquisition Financing. Represented a private equity firm in a secured acquisition financing for a portfolio of Burger King restaurants in three states, secured by mortgages, equipment and other personal property.
Sabine Pass Liquefaction Trains Three and Four. Represented the hedge providers on the US$5.9 billion financing of trains three and four of the Sabine Pass liquefaction project that won the Project Finance International “Americas Deal of the Year” award by Project Finance magazine.
Ruby Pipeline. Represented the initial purchasers in the issuance and sale by Ruby Pipeline, LLC of US$1.075 billion aggregate principal amount of senior unsecured notes.
Freeport LNG Liquefaction Project. Represented the lenders on the US$3.691 billion financing of Train Three and the US$4.025 billion financing of Train Two of the Freeport LNG liquefaction and export project at Quintana Island near Freeport, Texas. The Freeport LNG liquefaction project is an approximately US$12.5 billion project, making it the largest fully non-recourse construction financing project ever.
Roosevelt Hotel Financing. Represented historic Roosevelt Hotel in New York City in connection with a US$140 million mortgage loan.
Renewable Energy. Extensive experience in real estate development financing of renewable energy projects includes:
- Genesis. Represented lenders in the US$935 million senior secured debt financing for the Genesis Solar Project, a 250 megawatt solar thermal energy project in California.
- Desert Sunlight. Represented GE in its US$1.4 billion equity investment in the 550 MW Desert Sunlight solar photovoltaic project in Riverside County, California.
- Spring Valley Wind. Represented Siemens Financial Services, Crédit Agricole and Union Bank in the financing of Pattern Energy’s 151.8 MW Spring Valley wind project in Nevada.
- Long Island Solar. Represented MetLife in the financing and acquisition of the Long Island Solar Farm, a 32 MW solar photovoltaic project located at the Brookhaven National Laboratory in New York.
Hotel/Casino Refinancing. Represented borrower/owner in connection with a $250 million refinancing of a landmark Las Vegas hotel and casino.
Debtor-In-Possession (DIP) Financing. Our lawyers’ experience includes the representation of debtors and lenders in debtor-in-possession financings, including:
