Chadbourne’s multidisciplinary corporate trust practice advises corporate trust companies in fulfilling their responsibilities in a wide variety of capital markets and other finance transactions. We represent clients in their roles as indenture trustee, collateral agent, depositary bank, paying agent and administrative agent on both domestic and cross-border transactions under United States law and as note trustee, security trustee and facility agent under English law.

Chadbourne has significant experience advising indenture trustees in post-default administration, including waivers, enforcement and corporate restructurings, issues related to priorities of payments, and swap termination and valuation. We represent indenture trustees in Chapter 11 cases including in connection with service on unsecured creditors’ committees. Many of these matters require navigating the interplay between foreign bankruptcy regimes and US law governed indentures and we are able to draw upon the firm’s strong bankruptcy group and particular expertise in ancillary proceedings brought under Chapter 15 of the Bankruptcy Code. We also have significant experience representing the agency business of various financial institutions, and collaborate extensively with our project finance, corporate and tax groups to structure transactions that can be efficiently administered by our clients.
