Practice Description

Talbert Navia is head of the private funds group and co-head of the Latin America practice. He has been an advisor in the private equity area since the early 1980's. In 1998, Mr. Navia became a founding partner of a private equity firm focusing on investments in the U.S. and Latin America.  In addition, he co-led investments and served on the executive and investment committees at the private equity firm.  Mr. Navia has considerable experience in fund formation, management structuring and deal execution in private equity. His experience spans a broad range of areas including mergers and acquisitions, capital markets, financings, joint ventures and corporate restructurings in such industries as telecommunications, hotels, financial services, construction, oil and gas, energy, real estate and consumer products.

In addition to advising and serving on the board of directors of several major groups in the U.S. and Latin America, he was honored among the “Legal Elite” in Latin America by Hispanic Business magazine and was featured as one of the top deal makers in the region by Latin Finance magazine.

Representative Matters

  • Represented private equity and venture capital firms as an advisor and principal of MapleWood Partners and Dolphin Interventures and an advisor to The Baeza Group, Portable Alpha Partners, Latin Idea Mexico Venture Capital Fund, Carl Marks, Core Value Partners, Southern Cross and others in the formation, capital raising and mergers and acquisitions of the funds.
  • Represented U.S. companies such as Continental Cable, RiteAid Corporation, Tower Records, Amoco Corporation, MCI Worldcom, and Intercontinental Hotels in their investments outside the United States.
  • Represented and assisted entrepreneurs in capital raising, joint ventures, investments and general corporate advice.
  • Represented underwriters such as Salomon Smith Barney, Lehman Brothers, Dresdner Kleinwort Benson, Bear Stearns and others in securities offerings in the United States.
  • Represented issuers throughout Latin America in capital markets offerings such as:
    • Argentina: Soros/IRSA Group, Macri Group/Sideco Americana, Camuzzi Group, Autopistas de Sol, Soldati Group/CGC
    • Brazil: Copel, Petroflex, Cosipa, Vigor, Brazil Realty, Banco Bozano
    • Mexico: Bancomer, Mexinox, LatinLac
    • Peru: Cofide, Peru Real Estate
    • Venezuela: Fondo de Valores Inmobiliarios
  • Represented foreign companies in their reorganizations including Alpargatas and Sideco Americana.

Mr. Navia is listed in Chambers Global - The World’s Leading Lawyers for Business (2008) for his work in Latin America.

Activities and Affiliations

  • Serves on the Argentine Task Force for the private sector to develop alternative proposals to address U.S. dollar-denominated debt of the private sector
  • Member: Council of the Americas; Argentine American Chamber of Commerce; Brazilian American Chamber of Commerce; Colombian American Association; U.S.-Mexican Chamber of Commerce; and Venezuelan American Association and the Americas Society

Mr. Navia has written extensively in the areas of Latin American civil law, Mexican antitrust law, securities offerings in Latin America and U.S. investment in Latin America.
