Practice Description
Mr. Naidech represents a broad array of private fund sponsors in the structuring, establishment and operation of their funds. He has formed buyout, growth capital, real estate and venture capital funds ranging in size from $100 million to over $16 billion of committed capital, including both geography focused and industry focused funds. In addition to private funds, he advises clients on a number of other complex business transactions, including leveraged buyouts, recapitalizations, acquisitions and divestitures, as well as general corporate matters.
Prior to joining Chadbourne in the fall of 2007, Mr. Naidech practiced in the New York offices of Kirkland & Ellis LLP and Linklaters LLP, where he worked extensively with a number of prominent fund sponsors.
Representative Matters
Mr. Naidech's prior experience includes the following representative matters:
- Represented a large U.S. sponsor in the structuring and formation of a $16 billion private equity fund targeting mega-market buyouts, both domestically and internationally.
- Represented a large U.S. sponsor in the structuring and formation of a $4 billion private equity fund targeting buyouts in Asia.
- Represented a large U.S. sponsor in the structuring and formation of a permanent capital vehicle whose units were publicly listed on Euronext Amsterdam ($5 billion).
- Represented a U.S. sponsor in the structuring and formation of a $100 million fund of funds/co-investment fund.
- Represented a large U.S. sponsor in the structuring and formation of a $700 million private equity fund targeting growth equity investments in Asia.
- Represented a large European sponsor in the structuring and formation of a €6 billion private equity fund targeting large buyouts in Europe.
- Represented a U.S. sponsor in the structuring and formation of a $300 million private equity fund targeting growth equity investments in the communications and technology sectors.
- Represented a U.S. sponsor in the structuring and formation of a $100 million private equity fund targeting venture capital and growth equity investments in the energy and energy technology sectors.
