Practice Description

Scott Berson represents lenders and borrowers in connection with structured as well as more conventional financings, both secured and unsecured, and corporate clients in connection with general corporate transactional matters. Mr. Berson currently chairs the Firm’s recruiting committee.

Representative Matters

  • Currently representing the administrative agent and collateral agent in connection with a $30 million "priming" debtor-in-possession revolving credit facility.
  • Represented one of the largest UK-based hedge funds in connection with its obtaining a $530 million secured term loan financing to consummate a reverse acquisition and a $40 million secured revolver to provide working capital.
  • Represented the global coordinator in connection with three separate bridge loan facilities and three separate revolving credit facilities to be entered into as part of a public company’s spin-off and separation into three separate publicly traded companies.
  • Represented the arranger of two separate $200 million senior life settlement transactions involving the financing of a pool of U.S. life insurance policies, one of which was funded solely through a foreign equity offering and the other of which was funded with both debt (U.S. and foreign) and equity (through a foreign offering).
  • Represented the originator and borrower in an $80 million trade receivables financing insured by a policy covering the credit and political risk associated with non-U.S. receivables.
  • Represented a telecommunications company as borrower in connection with a $30 million senior revolver secured by substantially all of the company’s assets and a $10 million subordinated term loan secured by the same assets on a subordinated basis.
  • Represented a leading financial institution in connection with its purchase from various originators of the right to receive payment under structured settlements.
  • Represented both arrangers and lenders in connection with various synthetic lease restructurings, including the refinancing through a 144A capital markets offering of approximately $250 million of notes secured by the headquarters facility of a leading U.S. transportation company.
