Practice Description

Robin Mizrahi specialises in project finance and privatisations. His experience includes transactions in the power sector as well as the transportation, oil and gas, mining and industrial sectors. He has advised sponsors, lenders and government entities in connection with the development and financing of large projects, as well as acquisitions and privatizations, with a focus on emerging markets, including anglophone and francophone Africa, Eastern Europe and the Middle East. As part of his extensive work in emerging markets, Mr. Mizrahi has worked on several transactions and projects involving major development institutions and export credit agencies.

Representative Matters

  • Representing Sithe Energies and Industrial Promotion Services (an affiliate of the Aga Khan Fund for Economic Development) in connection with the development and the $682 million debt financing of the 250 MW Bujagali hydroelectric power project on the River Nile in Uganda. This is one of the largest power sector project financings in Sub-Saharan Africa, with financing involving 10 lenders before syndication.
  • Representing the lenders to the 270 MW Moatize IPP project developed in Mozambique by ACWA and Vale to supply electricity to the Moatize mine and to Electricidade de Moçambique, E.P.
  • Representing Globeleq in connection with its acquisition of a controlling interest in the Songo Songo project, a natural gas pipeline and 148.5 MW power plant in Tanzania, and the subsequent 70 MW expansion of the project.
  • Representing Sithe as sponsor in connection with the development and financing of the 358 MW Ruhudji hydro electric power project in Tanzania.
  • Representing Sithe and IPS as sponsor in connection with the development of the 147 MW Ruzizi III hydroelectric power project involving Burundi, The Democratic Republic of Congo and Rwanda.
  • Advising Nedbank, ABSA and SMBC as lenders on the 100 MW Dorper wind power project in South Africa.
  • Representing the Morocco state-owned utility Office National de l'Electricité (ONE) in connection with a tender for the Safi project, an approximately 1320 MW coal fired IPP to be located in Morocco.
  • Advising ONE in connection with the 700MW extension of the existing 1,400MW coal-fired power project located at Jorf Lasfar, Morocco.
  • Representing ONE in connection with a tender for the Tarfaya 300 MW wind power project, which has an estimated cost of $450 million.
  • Representing Globeleq and Eskom in connection with the privatization and management of the Uganda Electricity Distribution Company.
  • Advising a developer in connection with the proposed acquisition of the 683 MW (each) Port Said, Gulf Suez and Sidi Krir IPPs in Egypt.
  • Advising AES in connection with its acquisition of a controlling interest in Sonel, Cameroon’s integrated electricity utility, and its bid for Senelec, Senegal’s integrated electric utility.
  • Representing AES in connection with its acquisition of Enron’s majority interest in the 290 MW barge-mounted electricity generation project to be located at the Egbin power station near Lagos, Nigeria.
  • Representing AES Entek in connection with the proposed acquisition of a renewable power project in Turkey.
  • Advising AES Entek in connection with the development of a cogeneration project in Turkey.
  • Representing Songas in connection with the expansion and financing of its natural gas processing facility in Tanzania.
  • Represented a consortium formed by AES and Mitsui in connection with their successful bids for the 370 MW gas fired Amman East power project (which is Jordan's first IPP) and the 250 MW HFO IPP4 power project, both in Jordan.
  • Representing AES in connection with the development of a 330 MW coal fired IPP on Borsod, Hungary.
  • Representing AES and Mitsui in connection with the tender for the 100 MW Fujeij wind power project in Jordan.
  • Representing a consortium led by AES in connection with the tender for the 4000 MW Qurayyah IPP project in Saudi Arabia.
  • Representing a consortium led by AES in connection with the tender for the 1500 MW Sur IPP project in the Sultanate of Oman.
  • Advising a developer in connection with a bid for a carbon capture project in the UK.
  • Representing AES Kyivoblenergo and AES Rivneenergo, two Ukrainian electricity distribution companies, in connection with the financing by the IFC of a five-year investment plan.
  • Representing Sithe, PSEG and Marubeni in connection with the development and financing of the 470MW Radès gas fired power plant, Tunisia’s first IPP.
  • Representing ABB Structured Finance in connection with its financing of a portion of the equity for the approximately $900 million Ohanet gas processing facility in Algeria.
  • Representing Société Générale, Bank Hapoalim, Nedbank, Industrial Development Corporation (IDC) and Rand Merchant Bank (RMB) in connection with the financing of a gold mining project in Uzbekistan.
  • Advising a developer in connection with its bid for a 2000 MW power project in Algeria.
  • Representing Globeleq in connection with its acquisition of the Kelvin independent power project in Johannesburg.
  • Representing Siemens Westinghouse in connection with the sale of its interest in a power plant in the Mojave Desert in the United States.
