Practice Description
Pete Kolyer has a broad background in the Firm’s corporate practice, concentrating on mergers and acquisitions and securities offerings. He routinely advises on securities law disclosure and corporate governance matters, handles public and private securities offerings and also has experience in leveraged buyouts and corporate restructurings.

- Represented Rockwell International in:
- the acquisition of Reliance Electric Company
- the divestiture of Rockwell’s aerospace and defense businesses to The Boeing Company in a "Morris Trust” transaction
- the spin-off of Rockwell’s automotive businesses as Meritor Automotive, Inc.
- the spin-off by Rockwell of Conexant Systems, Inc., a leading provider of communications semiconductor products
- Rockwell’s spin-off of Rockwell Collins, Inc., a leading avionics and communications company
- Represented Meritor Automotive in its "merger of equals” with Arvin Industries, Inc. to form ArvinMeritor, Inc.
- Represented Conexant in:
- the spin-off and merger of Conexant’s wireless communications business with Alpha Industries, Inc. to form Skyworks Solutions, Inc.
- the spin-off of Mindspeed Technologies, Inc., Conexant’s Internet infrastructure business
- Conexant’s merger with GlobespanVirata, Inc.
- Represented The Boeing Company in the organization of United Space Alliance, LLC, a 50/50 joint venture between Boeing and Lockheed Martin Corporation that owns and operates their former U.S. government expendable rocket launch vehicle businesses.
