• Advised Bank Hapoalim in relation to its announced $135.3 million acquisition of circa 76% of the issued share capital of JSC Ukrainian Innovation Bank from selling shareholders. 
• Represented Bank Hapoalim in connection with provision of a secured $20 million loan to a Ukrainian bank. 
• Acted for a syndicate of banks on a €60 million financing of the construction and development of a shopping centre, focusing on structuring and negotiation of the security package. 
• Advised a consumer finance arm of the major European banking group on set up and structuring of its consumer finance operations in Ukraine. 
• Advised the largest French retail banking group in connection with the proposed restructuring of operations of its subsidiary bank in Ukraine. 
• Conducted due diligence on a major Ukrainian cable TV and Internet provider for one of the potential buyers. 
• Acted for lead managers and borrowers on several offerings of the loan participation notes of Ukrainian banks. 
• Advised a Polish financial group on the acquisition of a Ukrainian credit union and structuring of consumer lending operations of its subsidiary bank in Ukraine based on a branch network of that credit union. 
• Advised a Swedish banking group on the acquisition of two Ukrainian banks, focusing on share capital, employment, and intellectual property matters. 
• Conducted due diligence on a major Ukrainian juice producer in connection with its contemplated acquisition by a U.S. soft drinks producer. 
• Represented a major international financial institution in providing a €32 million syndicated loan to a Ukrainian pharmaceutical company. 
• Advised international investment banks on a $250 million offering of high-yield notes of a major Ukrainian poultry producer. 
• Advised one of the world’s largest brewers on its contemplated acquisition of a Ukrainian brewery group. 
• Conducted due diligence on a major Ukrainian poultry producer in connection with its contemplated initial public offering. 
• Advised a Swiss glass packaging producer on the acquisition of a controlling stake in a Ukrainian glass factory. 
• Advised a major U.S. soft drinks producer on various aspects of its business in Ukraine, including structuring of advertising campaigns, protection of intellectual property, employment matters, and general regulatory compliance. 
• Conducted due diligence on a Ukrainian diamond plant in connection with its acquisition by the world’s leading supplier of super-abrasives and industrial diamond materials. 
• Advised a Norwegian telecommunications holding on multimillion acquisitions and sale of shares in one of the leading Ukrainian mobile phone operators; provided on-going advice on a wide variety of matters related to business operations of the latter. 
• Advised a Finnish producer of telecommunication equipment on contract law matters relating to a €125 million deal on turnkey construction and implementation of the GSM/EDGE network in Ukraine.
• Advised various international clients on a wide variety of employment matters related to their operations in Ukraine.
