Practice Description
Mikhail Rozenberg, the Senior Partner of Chadbourne’s Moscow office, has practiced law in Russia for more than 30 years, covering a broad range of civil and criminal matters, including the representation of numerous well-known individuals and legal entities, and provision of legal advice to joint ventures and foreign firms. His primary areas of practice include representation of financial institutions and corporations in litigation in Russian and foreign courts, banking and finance, real estate issues (particularly local regulations on ownership and leasing of property), telecommunications, taxation and other commercial areas, including trade laws. Mr. Rozenberg has also provided significant assistance to international financial organizations on debt restructuring matters and in bankruptcy proceedings.
Representative Matters
- Representing the receiver of Yukos Oil Company on several international arbitration and court matters.
- Representing an oil company in an international arbitration arising out of a contractual dispute with a major multinational oil company operating in western Siberia.
- Secured a precedent-setting victory in the Russian Federation Supreme Arbitration Court on two related tax claims in favor of Fluor Daniel Eurasia, Inc., a U.S. oilfield services company operating in Russia.
- Represented an international accounting firm in numerous claims filed in Russian arbitration (commercial) courts by an investment fund with respect to audit reports on a Russian natural monopoly.
- Acted as the lead partner advising a multilateral lending institution on Russian legal issues related to security packages under loans granted to Russian companies and restructuring debts under loan agreements. He has represented this bank in several high-profile litigation and arbitration proceedings, both in Russia and abroad, involving major Russian and foreign companies.
- Acted as the lead lawyer for several prominent banks in the establishment of their banking operations in Russia.
- Assisted the first U.S. bank in obtaining a general banking license in Russia in 1993.
- Represented a prominent international corporation in the creation and operation of numerous joint ventures in Russia.
- Represented a multilateral lending institution in negotiations to restructure a loan facility granted to a major Russian automobile company.
- Represented a multilateral lending institution in a debt/equity swap involving the conversion of bonds into shares of the debtor, a major Russian truck manufacturing company.
- Represented a multilateral lending institution in restructuring a loan to a Russian supermarket company and subsequently amending all of the related security documents.
- Led the due diligence review and prepared a related Russian-law legal opinion in connection with the provision by a multilateral lending institution of political risk coverage to a foreign company for a proposed investment in a Russian steel company.
- Represented a foreign investor, as a minority shareholder in one of Russia’s largest steel producers, in successful litigation proceedings.
- Represented foreign minority shareholders in a claim against one of Russia’s largest metallurgical factories.
- Represented a foreign trading company with respect to export and tolling operations involving the same factory, including in arbitration proceedings in Switzerland.
- Provided legal assistance to the largest U.S. and Japanese automakers in product liability cases in Russia.
