Representative Matters

• Assisted HSBC Bank Polska S.A., leader of a consortium of banks, in financing provided to one of the biggest producers of food products in Poland.
• Advised Bank PEKAO S.A. on financing of development of commercial centers in Poland by one of the biggest Polish developers.
• Advised Grupa Lotos S.A. on structuring and other legal assistance related to the USD 2 billion expansion of Grupa Lotos S.A. oil refinery in Gdansk. The mandate included complex joint venture arrangements (later revised), complex negotiations of long-term supply agreements for non-standard inputs to the new processing installations, multiple engineering, procurement and constructions contracts (turn key, cost plus and construction management type) and complex financing by a consortium of international financial institutions.
• Advised ZAK S.A. on the financing transaction of construction and operation of a nitric acid unit with a water treatment station and provided legal advice on structuring and financing of an eco-carbon investment project.
• Participated in the sale and lease back transaction of the Energo-Utech S.A. power turbine for Elektrociepłownia Tychy S.A.
• Advised Vattenfall Heat Poland S.A. on intra-group loan transaction.
• Advised Messer Group on financing of construction of a large air separation unit with necessary technical infrastructure to be build in Poland.
• Advised J&S Energy S.A. on the power industry financing transaction of the year 2009 regarding obligatory oil stock-holding financed by a consortium of Polish and foreign banks.
• Advised on financings of development projects provided by: Echo Investment S.A., Sando Investments Sp. z o.o., Restaura Sp. z o.o., Wilanów Investments Sp. z o.o., and PKO BP Inwestycje Sp. z o.o.
• Participated in the process of numerous issues of bonds and investment bills for Bank Energetyki S.A. and PKO BP S.A.
• Participated in numerous transactions of preparing bond issues by the largest Polish cities or their municipal companies, in particular in:
  • bond issue programs organized by the City of Poznań (bond issue organizer: Depfa Bank),
  • bond issue programs organized by KHK S.A. in connection with public utility investments for the City of Kraków (bond issue organizer: IDM BPS S.A.),
  • bond issue programs organized by ARM S.A. in connection with public utility investments for the City of Kraków (bond issue organizer: IDM BPS S.A.),
  • bond issue program organized by the largest Polish railway company to finance the purchase of new rolling stock and a regional railway company for the construction of new railway lines.
