Chadbourne represented Swicorp Company, an international private equity and asset management firm focused on the Middle East, Africa and Turkey, in an acquisition by its affiliate of a 30 percent equity investment in Saudi steel manufacturer BRC Industrial (Saudia) Limited, a steel processing company in Saudi Arabia, from certain members of the Al-Howaish family.

Vale S.A. Represented Vale S.A. in the sale of its 90 percent ownership interest in Sociedad Contractual Minera Tres Valles (Tres Valles) to Inversiones Porto San Giorgio S.A (ISG) – a company controlled by the Chilean group Vecchiola S.A.
Southern Copper Corporation US$1.5 billion offering. Represented Southern Copper Corporation, one of the largest integrated copper producers in the world, in a US$1.5 billion registered public bond offering, consisting of US$300 million 3.500% Notes due 2022 and US$1.2 billion 5.250% Notes due 2042.
Bellzone Mining plc. Represented Bellzone Mining plc, an iron ore exploration and development company with assets in Guinea, West Africa, on a US$100 million strategic investment by China International Fund Limited and a US$133 million secondary placing on AIM.
Guinea. Represented a sovereign wealth fund in connection with acquiring an interest in the Global Alumina Project in Guinea, West Africa from BHP Billiton. The total transaction size is US$350 million and the Global Alumina Project is a US$3.5 billion bauxite mining and alumina-refining project that is currently under development.
Turkey. Represented a US independent energy company on their proposed acquisition of coal bed methane assets in Turkey.
Khanyisa IPP. Represented a bidder on the 450 MW Khanyisa Anglo independent power and captive coal project in South Africa.
Jordan Oil Shale Project. Advised the SEPCO III, HTG and Al Lujjun consortium on the development of a power plant and captive mine in Jordan.
Moatize power and coal project. Represented the lenders on the financing of the 270 MW Moatize independent power and captive coal project developed in Mozambique by ACWA and Vale to supply electricity to the Moatize mine and to Electricidade de Moçambique, E.P.
Carisal Unlimited. Represented Carisal Unlimited on the financing of a chlor-alkali project under development in Trinidad and Tobago. The lender syndicate of commercial and multilateral agencies includes EIB.
PGNiG. Advised Polish oil and gas company Polskie Górnictwo Naftowe i Gazownictwo S.A. (PGNiG), the largest Polish gas producer and supplier, on its framework agreement with a mining company KGHM Polska Miedź S.A. and three energy companies: PGE Polish Energy Group S.A., TAURON Polska Energia S.A. and ENEA S.A.
Asarco LLC Chapter 11. Represented the chairman of the Board of Directors of Asarco LLC, one of the leading producers of copper and nonferrous metals in the United States, in its Chapter 11 case pending in Texas.
Kinross Gold Corporation. Represented Kinross Gold Corporation, a Canadian company, in the US$3.1 billion acquisition of Bema Gold Corp. in a deal that creates a US$7.9 billion gold producer.
Development of uranium deposits. Advised Open Foreign Economic Joint Stock Company (Techsnabexport) in connection with the negotiation and establishment of a joint venture with the Navoi Mining and Metallurgical Combinat and the State Committee of the Republic of Uzbekistan on Geology and Mineral Resources in connection with a project for the development of certain uranium deposits.
International Finance Corporation. Acted for the International Finance Corporation (IFC) in relation to a US$60 million loan to Vyksa Steel Works.
Polyus Gold. Represented Polyus Gold, a company engaged in the gold business, in connection with its acquisition of a majority stake in a Russian gold company.
Polymetal. Advised Polymetal in connection with an acquisition of a Russian subsidiary from a large international gold mining company and advising on related acquisition of the company debt.
Mechel. Acted as US and Russian counsel to OAO Mechel, the Russian metals and mining conglomerate, in connection with its acquisition of a US privately held mining company.
Kinross Gold Corporation. Represented Kinross in relation to consent waivers and amendments to a CMGC project finance facility with a syndicate of lenders, subordinated lenders and hedging counterparties. The facility is around US$400 million—a CMGC senior loan of US$400 million and a junior loan of US$25 million.
POSCO America. Represented POSCO America in connection with its various business and corporate transactions.
CVRD. Represented CVRD in connection with its successful US$123 million bid, in association with American Metals & Coal International, Inc., for the concession to explore and develop the Moatize Coal Deposit in Tete Province, located on the Mozambican side of the Zambezi Basin.
Berycan Limited. Represented Berycan Limited in connection with its purchase of steel mini-mill group ISTIL Group.
Boeing. Advised The Boeing Company in its US$60 million joint venture with Open Joint Stock Company "Corporation VSMPO-Avisma," the world's largest titanium producer, for the machining of titanium forgings manufactured by VSMPO.
