Practice Description
Morton Grosz has acted as transaction counsel to domestic and foreign corporate clients and investment funds in various mergers and acquisitions, joint ventures and other corporate transactions. He has also worked on numerous leveraged buy-outs, corporate restructurings and work-outs, as well as financing arrangements involving publicly held and private companies. Mr. Grosz has acted as counsel to organizers of investment funds and to investors in investment funds, and has also represented various companies in connection with venture capital investments and the issuance of securities for both acquisition and capital-raising purposes.
Representative Matters
Mr. Grosz’s prior experience includes representing:
- A sponsor group in connection with (i) its organization of three offshore investment funds and (ii) the sales to U.S. and foreign investors of limited partner interests with initial aggregate commitments in excess of $1.1 billion.
- An investment fund in various domestic and foreign venture capital investments in software and pharmaceutical companies.
- An investment fund in various acquisition and sale transactions in Argentina, Chile and Mexico.
- A hedge fund in connection with the formation of a Bermuda reinsurance company and the raising of equity and debt capital in excess of $500 million.
- A European corporation in connection with its sale of loans and equity investment in a U.S. publicly held company with a face amount of approximately $1 billion.
- A European software company in connection with its strategic and venture capital investments in the United States aggregating over $300 million.
- Two different European publicly held corporations in connection with the restructuring of their U.S. operations.
- French, German and Australian companies in connection with financing transactions.
- An energy company in connection with the sale of a portfolio of energy projects for a purchase price in excess of $700 million.
- A shoe manufacturer and retailer in connection with a sale of a significant minority interest to a merchant banking firm.
- A venture capital group in connection with acquisitions, dispositions and financings of television stations, radio stations, cable TV systems and newspaper interests.
Honors
Mr. Grosz is cited in New York Super Lawyers (2008) for securities and corporate law.
Activities and Affiliations
Mr. Grosz is a member of the Association of the Bar of the City of New York (member of the Committee on Corporation Law from 1974-1977 and 1989-1992), New York State Bar Association and the American Bar Association. He is also a member of the Board of Directors of the Legal Aid Society.
