Practice Description

Larry Plotkin represents clients in commercial real estate transactions, including the purchase, sale, financing, development and leasing of all types of commercial properties. He has extensive transactional experience representing large big-box retailers and shopping center owners and developers on leasing, acquisition, development and financing (construction and permanent loans) transactions.

He also has experience in corporate real estate transactions (including, mergers and acquisitions, private and public equity and debt offerings, sale-leasebacks and securitized financings) and in representing parties in transactions subject to bankruptcy proceedings.

Representative Matters

  • CMBS for Regional Mall Real Estate Investment Trust (REIT). Represented a major U.S. Shopping Center real estate investment trust (REIT) as borrower in connection with a $400 million+ securitized loan covering several large regional malls.
  • Real Estate Investment Trust (REIT) International Joint Venture. Represented a publicly traded shopping Center real estate investment trust (REIT) in a joint venture with a local developer for the acquisition and development of a $1 billion+ mixed use retail/residential project in East Asia. 
  • Real Estate Investment Trust (REIT) Public Tender Offer. Represented joint venture, including a large multi-family U.S. REIT, in a bid to acquire outstanding shares of another publicly traded multi-family REIT. 
  • Real Estate Investment Trust (REIT) Public Securities Offerings. Public offerings of equity securities by publicly traded REITs, including the following:
    • represented a major shopping center REIT in its initial public offering and for additional equity securities offerings. 
    • represented the underwriter on the initial public offering and on secondary offerings for a newly formed REIT owner of senior living and assisted living properties. 
  • Hotel/Casino Refinancing. Represented borrower/owner in connection with a $250 million refinancing of a landmark Las Vegas hotel and casino on the strip. 
  • Sale-Leaseback Acquisition Financing. Represented the purchaser of a company in the $100+ million sale-leaseback financing of the target's headquarters building, structured as a portion of the acquisition financing for the merger. 
    • Debtor-In-Possession (DIP) Financing. The representation of debtors and lenders in debtor-in-possession financings. 
    • Senior Living Facility. Represented borrower/developer in connection with a construction loan and mezzanine financing for a development of a senior living facility in the Southeastern U.S. 
    • Bankruptcy Sales and Purchases. Represented debtor-sellers and purchasers of commercial property in Chapter 11 proceedings. 
    • Anchor Retail Tenant Leasing. Representation of top discount retailers in transactions with national and regional developers, and real estate investment trusts (REITs), for leases and purchases of space in new and existing shopping centers and in free-standing locations.
