New York - Hart Scott Rodino

The New York office of Chadbourne seeks a part-time or on-call attorney. The ideal candidate will be familiar with preparing and submitting HSR filings. The candidate will also be familiar with the identification, gathering and submission of “4(c) documents” as part of the HSR process. Additionally, the candidate will be familiar with the governing rules and be able to analyze and gather the information needed to analyze whether proposed transactions are HSR-reportable. Candidates should also have experience interfacing with the DOJ Antitrust Division and the FTC regarding HSR Filings. Experience working with counsel in foreign jurisdictions regarding whether proposed transactions may or must be reported in those jurisdictions and assisting foreign counsel in ensuring consistency of information across the filings in various jurisdictions is preferred. Experience working with the DOJ Antitrust Division and the FTC regarding whether a second request will be issued, and if so negotiating the economic issues to which it should be directed is a plus. The New York office of Chadbourne seeks a Project Finance Associate with four to six years of experience (Class of 2009 through 2011). The ideal candidate will have prior experience in project finance specific transactions. The candidate must have strong competency in drafting and negotiating the principal financing documentation (including credit agreements and depositary agreements) as well as experience in drafting or reviewing project documentation (including EPC contracts and/or supply contracts). New York or DC - Real Estate Associate

The New York or DC office of Chadbourne seeks a Real Estate associate with three to six years of experience (Class of 2009 through 2012) to support our preeminent Project Finance & Energy practice. The ideal associate will have strong transactional Real Estate and Real Estate development backgrounds, experience drafting and negotiating Real Estate, Finance and Securities documents, and have a strong understanding of title, survey and related diligence issues. New York or DC - Project Finance Senior Associate or Counsel

The New York or DC office of Chadbourne seeks a Project Finance attorney at the senior Associate or Counsel level. The ideal candidate will have experience with federal electric utility regulation, including under the Federal Power Act, Public Utility Holding Company Act and the Public Utility Regulatory Policies Act. The candidate should also have experience with filing requirements at FERC, with federal gas utility regulation under the Natural Gas Act and with power contracts, interconnection agreements and utility transmission and gas transportation agreements. The Washington, DC office of Chadbourne seeks several Project Finance Associates with three to seven years of experience. Candidates must have strong competency in drafting and negotiating financing documents and/or project-related contracts such as EPCs, PPAs, etc. Experience in project finance is highly preferred, but candidates with exceptional backgrounds in other finance or project development practices are also encouraged to apply.
