Mergers & Acquisitions, Private Equity

  • Advised the sellers of Laboratory ANVI in connection with the sale of the company.
  • Advised Jensen Group in connection with a number of real estate investments in St. Petersburg including acquisition of Nevsky Passage.
  • Advised OAO Polymetal in connection with a transaction with Fortress Minerals Corp.
  • Advised a Russian client in connection with a JV and a share swap transaction with a business partner.
  • Advised a foreign company in connection with the assignment and novation of the call options granted in respect of the shares of one of the leading Russian natural resources companies.
  • Advised a Russian client in connection with a JV and indirect acquisition of a company constructing a luxury hotel in Moscow.
  • Advised a passive investor in a large publishing group in connection with the sale of the controlling stake in the group to a strategic investor.
  • Advised a subsidiary of a Russian diversified business group in connection with an acquisition of a company owning two business centres in Moscow and long-term land lease agreements.
  • Advised the sellers of the majority stake in OAO Nomos Bank in connection with the sale and related transactions.
  • Advised the shareholders of ZAO Khladokombinat ¹ 1 on the sale of their interest in the company to a foreign investor.
  • Advised the shareholders of Rive Gauche on the sale of their interest in the company to a strategic investor.
  • Advised the shareholders of a major Russian financial and industrial group on the sale of their interest in one of the entities of the group to a strategic investor.
  • Advised several European Bank for Reconstruction and Development (EBRD) venture funds on a multimillion dollar investment in the Russian companies in St. Petersburg, Moscow and central Russia, including heading the due diligence teams, drafting and negotiating investment, loan and option agreements.

Financing

  • Advised one of the leading Russian banks in connection with a legal due diligence with respect to the facility documents and subsequent acquisition of commitment in a US$320 million syndicated loan provided to a Russian borrower for financing real estate projects.
  • Advised a leading Russian bank in connection with negotiating a funded sub participation agreement in respect of a US$260 million loan provided to a Russian borrower for financing real estate projects.
  • Advised a leading Russian bank in connection with the assignment of commitment in a loan agreement and restructuring of the security granted by the borrower.
  • Advised Russian corporate borrowers in connection with pre-export finance facilities and ECA guaranteed facilities from a number of foreign banks.

Dispute Resolution

  • Represented a Russian company in connection with a contractual dispute and an attempt to discharge a favourable for the client arbitral award in Russian courts and subsequent enforcement of the award.
  • Advised ZAO Ilim Pulp in connection with the over 2 years anti-hostile takeover defence; negotiated a settlement on its behalf; advised the company in connection with the variety of the post-settlement legal issues.
  • Advised a client in connection with an arbitration at LCIA and related disputes in Russian courts, lead the teams of lawyers in the UK, Russia, Denmark, Cyprus and Estonia in connection with the dispute.
  • Advised a major Russian food producer on a commercial dispute and the pre-court settlement of the same.
  • Litigated corporate disputes on behalf of a major Russian pulp and paper producer.
  • Litigated a corporate dispute on behalf of a foreign investment company.

Other Engagements

  • Advised a leading Russian company in connection with negotiating Emission Reduction Units purchase agreements under the procedures set forth in the Kyoto protocol.
  • Advised a foreign company in connection with contractual and IP matters under Russian law.
  • Advised a foreign company in connection with regulatory issues of Russian insurance law.
