- Represented Transmission Development Inc., an early stage clean technology project, in an equity financing.
- Represented Strategic Value Partners in the sale of Pacific Crossing Ltd., a trans-Pacific transmission company, to a Japanese acquiror.
- Represented Conduit Capital, a private equity fund, in its acquisition of certain power projects in the Carribean.
- Represented Southern Cross, a Latin America-focused private equity fund, in its joint venture with Evercore, another fund.
- Represented CIT Group Inc. in its private equity portfolio sales of both direct and indirect investments.
- Represented AIG in its acquisition of a division of General Electric’s insurance businesses.
- Represented Pediatrix Medical Group, a public healthcare corporation, in its acquisition of certain private healthcare companies.
- Represented Budget Car Rental in its sale to Avis.
- Represented a fund affiliated with Brascan in its contested acquisition of a controlling interest in CRIIMI Mae Inc, a then public corporation that invests in pooled mortgage interests. Subsequently represented CRIIMI Mae in its auction process of the sale of the company.
- Represented London Fog Industries, a U.S. private apparel company, in its sale to Homestead Fabrics, an English company.
- Represented the sponsor in the project financing of Astoria Power Plant in Queens, New York.
- Represented the sponsor in the project financing of Southwest Cheese, a cheese processing plant, in Clover, New Mexico.
- Represented Magna Entertainment Corp. in connection with its dual offering of shares of common stock on the Nasdaq National Market and the Toronto Stock Exchange.
