Practice Description
Jocelyn Lavallo's practice focuses on the financing and development of energy, transportation and other industrial and infrastructure projects. Ms. Lavallo has represented both lenders and sponsors in a variety of complex project financings primarily involving renewable energy and natural gas.
In addition to her project finance work, Ms. Lavallo has advised and represented various lessees and equity investors in leveraged lease financings involving energy plants, transportation infrastructure, industrial facilities and industrial and transportation equipment.
Representative Matters
Solar and Wind Transactions:
- Represented sponsor in the purchase and financing of an approximately $3 billion, 550MW solar photovoltaic project being constructed in California, including the application for a U.S. Department of Energy loan guaranty in support of the debt financing for the project.
- Represented MetLife in connection with the purchase and financing of Long Island Solar Farm, a 31.5MW solar photovoltaic plant in Brookhaven, New York.
- Represented Gestamp Wind North America and Banco Santander in connection with the purchase, construction financing and tax equity financing of Flat Water Wind Farm, a 60 MW wind farm in Richardson County, Nebraska.
- Represented NaturEner USA in connection with a construction loan, tax equity financing and back leverage loan for its 106.5MW Glacier 1 wind farm in Montana.
- Represented NaturEner USA in connection with a construction loan and tax equity financing for its 103.5MW Glacier 2 wind farm in Montana.
- Represented PNC Energy Capital, as tax equity investor, in:
- various sale/leaseback transactions with SunEdison, involving rooftop solar photovoltaic projects located at several Kohl's Department Stores and Arizona's Paradise Valley School District.
- various sale/leaseback transactions with Tioga Energy, involving rooftop and ground-mounted solar photovoltaic projects located at several BJ's Wholesale Club stores, California's Lafayette School District and the Humane Society of Silicon Valley.
- various sale/leaseback transactions with Enfinity, involving rooftop and ground-mounted solar photovoltaic projects located in California's Pioneer School District and Muroc School District.
- various sale/leaseback transactions with Integrys, involving rooftop and ground-mounted solar photovoltaic projects located at Harvard University.
- various sale/leaseback transactions with Kenyon Energy, involving rooftop and ground-mounted solar photovoltaic projects located in Colorado's City of Rocky Ford, Adams School District, Sheridan School District and Rocky Ford School District.
- a sale/leaseback transaction with Sun Devil, involving rooftop and ground-mounted solar photovoltaic projects located at Arizona State University.
- Represented investor in $100 million tax equity inverted lease transaction for residential and commercial solar installations.
Natural Gas and Water Treatment Transactions:
- Represented RBS in the $870 million debt financing for the construction and operation of the Gulf LNG Energy LNG receiving terminal in Pascagoula, Mississippi.
- Represented U.S. developer in the $200 million acquisition and financing of a gas-fired electricity generation station and related natural gas exploration and exploitation licenses, pipelines and collection system in the United Kingdom.
- Represented Société Générale in the U.S. $210 million construction financing of PL Propylene, a 1.2 billion lb/year propane dehydrogenation plant to produce propylene.
- Represented the lenders in connection with GenPower Holdings’ $130 million construction financing for the Dunkard Creek water treatment facility which will service Longview Power, LLC's approximately 769MW coal-fired power generation facility being developed in Monongalia County, West Virginia.
- Represented Union Bank in the financing of the 190-mile Elba Express interstate natural gas pipeline.
- Represented purchaser of equity interest in a 1000MW natural gas-fired, combined cycle electric generating facility in New York.
- Represented major financial institutions and corporations in the leveraged lease financings of large-ticket assets, including railroad rolling stock, QTE equipment and cogeneration facilities.
Pro Bono Matters:
- Represented a non-profit energy company for general matters.
- Represented a Tibetan asylum seeker before the U.S. Court of Appeals for the Second Circuit. Co-authored appellate brief.
