Practice Description
John Baecher concentrates on project finance, primarily in the private power industry, and related general corporate and commercial law. Mr. Baecher has extensive experience working with sponsors, lenders and investors in the development and financing of privately-financed independent power projects. He has assisted several of the largest global independent power companies in the expansion of their U.S. holdings and in their international development and acquisition activities in Argentina, Brazil, Guatemala, Mexico, El Salvador, the United Kingdom, Venezuela and the Commonwealth of Puerto Rico. Mr. Baecher advises U.S. and international sponsors and lenders in connection with evaluating and responding to requests-for-proposals (RFPs) issued by governments and investor-owned utilities relating to the acquisition or development of power plants, transmission and distribution systems, LNG terminals, ports and other associated facilities as well as project restructurings and corporate asset acquisitions and divestitures.
Representative Matters
- Most recently, Mr. Baecher has been involved in project restructurings resulting from failures to perform or adverse changes in the financial condition or bankruptcy of counterparties in connection with several financed projects under construction or in operation.
- Assisted a major U.S. developer in connection with corporate restructuring and selected asset sales and development initiatives.
- Advised AES in the development and financing of the Andres project, an LNG terminal, regasification facility and 306 megawatt natural gas fired combined cycle power plant in the Dominican Republic.
- Advised a major energy investment fund on the first portfolio financing of independent power projects when he represented Energy Investors Fund in its Rule 144A offering to refinance its portfolio of limited partnership interests in 16 energy projects.
- Advised the Mexican government-owned utility, Comision Federal de Electricidad, in connection with the initial structuring of its first request-for-proposals for independent power projects.
- Represented AES in the development and financing of the Wolf Hollow Project, a 730 megawatt gas-fired half merchant/half contracted generating project in Texas, and in the development and financing of the Guayama Project, a 454 megawatt coal-fired cogeneration plant with related dock facilities in Puerto Rico, which was financed by commercial bank credit and municipal bond issues.
- Represented AES in the acquisition of a controlling interest in three electricity distribution companies in El Salvador, as well as on the development and financing of several other independent power projects, including the 484 megawatt gas-fired Merida III project, the first true independent power project privately financed in Mexico.
