Practice Description
Guillermo Sandoval Coustasse's practice focuses on the representation of public and private entities in domestic and international project financing and energy projects. Mr. Sandoval Coustasse also advises companies involved in investor-state disputes based on bilateral investment treaties and international commercial arbitration. Prior to joining Chadbourne & Parke, Mr. Sandoval Coustasse was a member of the banking and finance group of a leading law firm in Chile.
Representative Matters
Project Finance
- Representing the lenders in a proposed financing for a 531MW run-of-river hydro project in Chile.
- Represented The Bank of Nova Scotia and RBC Capital Markets, the joint lead arrangers and joint bookrunners, on a $110 million financing for Primary Energy Operations LLC.
- Represented Macquarie Mexican Infrastructure Fund and Macquarie Capital Advisers on the development and $693 million debt financing of a 396MW wind farm in the State of Oaxaca, Mexico. The project is the largest single stage wind farm in Latin America to date.
- Represented Société de Promotion et de Participation Pour la Cooperation Economique (PROPARCO) and Nederlandse Financierings-Maatschappij Voor Ontwikkelingslanden N.V. (FMO), as Mezzanine Lenders, in respect of the financing of T-Solar’s 22MW GTS Majes and 22MW GTS Repartición thin-film solar photovoltaic projects in southern Peru. The deal was awarded 2011 Latin America Renewables Deal of the Year Award by Project Finance Magazine.
- Represented Corporación Andina de Fomento, Nederlandese Financierings-Maatschappij voor Ontwikkelingslanden N.V. (FMO), Inter-American Development Bank and Banco Internacional del Perú (Interbank) as senior lenders in connection with a $150 million limited-recourse financing for development of a greenfield ethanol project on the northern coast of Peru consisting of a 7,800 hectare sugarcane plantation to provide sugarcane feedstock to the project, an ethanol distillery with capacity to produce up to 35 million gallons of ethanol per year and a 37-megawatt power plant to supply all of project’s power needs.
- Represented the International Finance Corporation and a syndicate of commercial banks in the financing of the Buenaventura port project in Colombia.
- Advised the Inter-American Development Bank on the preservation of its security interests on a project financing of a rural telecommunications company in Chile.
International Arbitration and Dispute Resolution
- Represents a South American company in an ICC arbitration against a world-wide leading pharmaceutical company in a dispute regarding a distribution agreement.
- Assists the representation of a leading airport operator in a UNCITRAL arbitration initiated under a bilateral investment treaty against a South American country in a dispute regarding airport concessions.
- Assisted in the evaluation of a major ICC arbitration of a dispute between a leading power companies and a public company in Central America involving a USD 200 million geothermal project.
Oil and Gas
- Represented GeoPark Holdings Limited, a Latin American oil and gas exploration and production company, in connection with the acquisition of Hupecol Cuerva, LLC, a privately held exploration and production company operating in Colombia.
- Represented GeoPark Holdings Limited in connection with the acquisition of Winchester Oil and Gas S.A. and La Luna Oil Co. Ltd. S.A. -- two privately held exploration and production companies operating in Colombia.
Banking and Finance
- Represented Bank of America on the reorganization and sale of all its banking operations in Chile to a Brazilian bank.
- Advised foreign investors on investment agreements, investment vehicles and subsequent corporate matters in Chile.
- Counseled HSBC Bank Canada, HSBC Bank USA and the Bank of Nova Scotia on the amendment of security interests covering foreign currency derivative agreements for USD $1.7 billion.
Natural Resources
- Represented Pacific Hydro in the acquisition of water rights and later restructuring of the water rights matrix for the construction of two run-of-the-river hydro electric power plants in central Chile.
- Represented several mining companies in securing water rights for their mining operations.
Mr. Sandoval Coustasse has also volunteered with the Public International Law & Policy Group, the DC Bar Advice and Referral Clinic, the Political Asylum Project of Austin in the preparation of Temporary Protective Status applications, political asylum proceedings, and cases under the Violence Against the Women Act, and has founded and structured several NGOs in Chile.
Activities and Affiliations
Mr. Sandoval Coustasse is a member of the Chilean Bar Association and the International Bar Association. Formerly, Mr. Sandoval Coustasse, served as President of the Georgetown International Arbitration Society (2010-2011), a board member of the International Law Society (2009-2010), and President of the Latin American Law Students Association (2009-2010). Mr. Sandoval Coustasse has served as a judge for the international rounds of the Jessup Competition, as a Global Teaching Fellow, as an Executive Editor, Submissions Review for the Georgetown International Environmental Law Review, and as an Ad-Honorem Assistant at Universidad de Chile. Also, Mr. Sandoval Coustasse actively supports the Vis and FDI teams of the ADR Division of the Georgetown Barristers' Council.
