Chadbourne has one of the most active and international private equity transactional practices encompassing all aspects of this rapidly evolving field.  Our team of private equity transactional attorneys has extensive experience in the formulation of innovative strategies for structuring acquisitions and financings of private and public companies, negotiated as well as unsolicited acquisitions, going private transactions, stock-for-stock acquisitions, spin-off transactions and acquisitions of minority interests.

Energy/Infrastructure

We represent developers, investors (including private funds), commercial and multilateral lenders, as well as commercial and multilateral insurers, and we have worked in project development and finance, as well as the acquisition and sale of energy and infrastructure assets, for more than 25 years.

Alternative Energy/Renewables

Chadbourne has extensive experience in the venture capital and private equity transactional areas, representing venture, buyout and hedge funds as well as investors in the renewables and alternative energy spaces.  This deep sector expertise, when coupled with our exit experience in international initial public offerings, has positioned Chadbourne as a market leader in alternative energy and renewables.  Chadbourne follows its fund clients throughout their entire fund life cycles across several legal systems and countries.

Latin America

Through our extensive work in the region and our team of bilingual and bicultural lawyers, Chadbourne is recognized as a leader and pioneer in countries from Mexico to Argentina. The Firm has been involved in three of the largest cross-border tender offers in the past decade (Enersis, Endesa Chile and Mavesa). Chadbourne has also represented numerous creditors committees, which include members that are private funds, in some of the largest restructurings in the region (TGS, EDENOR and Sideco).

U.S. Hispanic Market

As a natural extension of our Latin America practice, Chadbourne is a leading law firm in the U.S. Hispanic market. Through successful deal execution and a series of regular social, educational and networking events we organize both inside and outside our offices, we have developed strong relationships in this fastest growing demographic group in the United States.

Central Europe/CIS

Our offices in London, Warsaw, Moscow, St. Petersburg, Kyiv and Almaty have more than 80 fully bilingual attorneys who have advised private funds clients focused on the CIS and Central European region. Attorneys in our Central Europe/CIS practice have also worked on capital markets transactions involving the listing of equity funds and have represented domestic issuers on share offerings in the international capital markets. For instance, Chadbourne represented the first Russian company to list its shares on the New York Stock Exchange.

Canada

Chadbourne offers sophisticated legal counsel to Canadian companies and private funds conducting cross-border business in the United States and around the globe. Chadbourne also assists U.S. and other non-Canadian companies and private funds conducting Canada-inbound business.

Middle East/Turkey

Our Middle East/Turkey practice is managed out of our London and Dubai offices. The practice group has two Turkish speaking partners and several attorneys who are fluent in Arabic and Hebrew. In addition to private fund advisory work, attorneys in this group have worked on acquisitions, financings (both equity and debt), joint ventures and privatizations in the Middle East and Turkey. Through our office in Dubai, Chadbourne also has the ability to handle local law issues on behalf of UAE-based and international clients.

Distressed Assets

Chadbourne’s restructuring lawyers have represented the interests of private funds in some of the country’s largest restructurings. As part of these representations, Chadbourne has worked with private funds in the restructuring of portfolio companies, on official and unofficial committees of creditors, as purchasers of assets out of bankruptcy and as buyers and sellers of distressed debt. We also advise private fund clients in international transactions with a distressed component.

Real Estate

We handle joint ventures, acquisitions, sales, leases and financings for our private fund clients. Our experience covers both debt and equity transactions and almost every type of real estate, including office and industrial buildings, power plants, hotels, retail, multi-family housing and vacant land, on a national and international scope. We specialize in creative real estate structures, including complex leasing and multi-tiered lending arrangements.

Communications/Technology

In the communications area, we have represented wireline and wireless carriers, cable and satellite companies and equipment manufacturers. In addition to providing insight concerning company operations and the regulatory environment in which such companies operate, we have advised private funds and private fund investors on specialized rules governing investments in communications and media properties, including the rules governing foreign ownership of communications and media companies, the attribution of ownership and methods of insulating such ownership attribution. We also have extensive experience in transactions involving complex technology transfer and licensing, technology assessment and valuation, intellectual property clearance, risk mitigation and global intellectual property enforcement and procurement.

Insurance/Reinsurance

Chadbourne’s insurance/reinsurance group consists of 25 lawyers based in our Washington, D.C. and New York offices, and 15 lawyers based in our London office. Our group represents insurers, reinsurers, intermediaries, financial institutions and governmental entities on matters regarding all aspects of the property-casualty and life and health business. Together with our corporate department, Chadbourne is also able to provide expert transactional advice in the insurance/reinsurance area.

Asia/India

Through our project finance group, Chadbourne has lawyers with significant experience negotiating and closing complex transactions in Asia and India. Our experience in India dates from the early 1990s, and one of our partners lived in India for more than a year representing both U.S. and Indian developers of independent power projects. We also have a licensed office in Beijing, China, where our firm focuses on general corporate and commercial work, including infrastructure, property, joint venture contracts and acquisitions.
