First Securitization of Rooftop Solar Energy
Chadbourne represented SolarCity Corporation in the first securitization of distributed (rooftop) solar energy assets. The securitized notes received an investment grade rating of BBB+(sf) by Standard & Poor’s based on cash flows from a pool of SolarCity’s residential and commercial and governmental customer contracts, related photovoltaic systems and ancillary contract rights.
Rockwell Collins Acquisition Financing
Chadbourne represented Rockwell Collins, Inc. in connection with (i) a US$900 million 364-day senior unsecured bridge term loan agreement in connection with the acquisition of ARINC Incorporated, (ii) a US$1 billion five-year senior unsecured revolving credit agreement, to be used for general corporate purposes and (iii) a US$200 million 364-day senior unsecured revolving credit facility.

Chadbourne represented Citibank, N.A., as lead arranger and administrative agent, in connection with a US$850 million syndicated facility (US$600 million revolver and US$250 million delayed draw term loan) for MeadWestvaco Corporation.
Chadbourne Represents Trustee in Restructuring of Notes Issued to Finance Construction of Trump Ocean Club in Panama
Chadbourne represented Delaware Trust Company, as trustee, in connection with the issuance of US$220 million 9.50% Senior Secured Notes due 2017 issued by Newland International Properties Corp. The notes were issued under a pre-packaged Chapter 11 plan in exchange for notes issued to finance the construction of the Trump Ocean Club in Panama.
Chadbourne Represents Sovereign Bank in Wind Farm Sale-Leaseback
Chadbourne represented Sovereign Bank, a subsidiary of Banco Santander, in connection with the sale-leaseback of a 102.5 MW wind farm in California with enXco, the US development arm of Electricité de France, the French national utility, as the seller/lessee. This is one of only a handful of wind farms that have been financed using sale-leasebacks in the US.
