Green Business Summit

June 18, 2008

This free Chadbourne & Parke conference targeted members of the business community seeking to learn about opportunities and risk management of green business in the wake of impending climate change legislation and litigation. The green business revolution offered businesses both challenges and opportunities. The purpose of our event was to help identify these and demonstrate legal and business strategies for coping with the challenges and taking advantage of the business opportunities.

Former New York Governor George Pataki chaired the summit and Chadbourne partners and counsel served as panel moderators. Keynote speaker was New York Mayor Michael Bloomberg.

AGENDA

8:00 AM Registration, Breakfast
8:45 AM Opening Remarks: Gov. George Pataki, Program Chair
9:00 AM Panel I: “The Future of Emissions and Energy Trading” (Moderator: John Cahill. The original Clean Air Act took more than a decade to write. Congress will not solve the climate problem with one piece of legislation. With 50 year targets, untested markets, and new technologies coming on line, climate change legislation will continue to be a focus of Congress and the Administration for the foreseeable future. One thing seems clear: the next Administration will likely be far more proactive in dealing with climate change than the current one. Emissions and energy trading is a key strategy to lower carbon footprints of businesses and this panel will discuss the status quo as well as the possible future of it.
10:00 AM Break
10:15 AM Panel II: “Harnessing the Opportunities in Clean Energy Businesses and Services” (Moderator: Todd Alexander. Peters Jr., SVP, TD Banknorth Project Finance)

Investors Pledge $10 Billion For Renewable Energy
At a U.N. summit, U.S. investors pledged to invest $10 billion over two years in technologies that aim to reduce greenhouse gas emissions and to pressure companies to disclose their exposure associated with climate change.

The plan “reflects the many investment opportunities that exist today to put a dent in global warming pollution, build profits and benefit the global economy,” said Mindy Lubber, the president of Ceres, a coalition of investors and environ¬mental leaders, and director of the Investor Network on Climate Risk.

11:15 AM

A View from Washington: Andy Karsner, Assistant Secretary for Energy Efficiency and Renewable Energy, Department of Energy

12:00 PM Lunch, 11th Floor (Luncheon Speaker: Larry Kudlow)
1:30 PM Panel III: “The Effects of Climate Change on the Insurance Industry and Alternative Risk Solutions” (Moderator: Joy Langford. Panelists: Lindene Patton, Chief Climate Product Officer, Zurich Financial Group; Ranjini Pillay, Vice President-Underwriting, AIG Risk Finance; David Reisinger, Vice President, AIG Global Marine & Energy)
Global warming and the growing incidence of extreme weather events pose enormous challenges to the insurance industry. While climate change poses potential threats, it also creates vast new business opportunities for insurers and reinsurers. Areas of opportunities for new product development include Alternative Risk Transfer (ART) and renewable energy-related insurance products. Alternative risk solutions include catastrophe bonds, insurance linked securities, index futures, industry loss warranties, and sidecars, to mitigate and effectively spread climate disaster risk.
2:30 PM Panel IV: “Green Energy - From Round A to IPO Special Considerations” (Moderator: Jonathan Melmed. Panelists: John Baardson, CEO, Baard Energy, LLC; Sasha Jacob, President & CEO, Jacob & Company Securities Inc. ; Edward Levin, Global Capital Markets, Morgan Stanley; Jeffrey Lipton, Managing Director, Jefferies & Company; Jeremiah Yu, UBS Global Asset Management (Americas) Inc.)
The response to climate change is the creation of business opportunities through the formation of new companies, investments in new technologies and the sourcing of funds from venture capital, private equity and hedge funds. What are the unique features attending green energy series A to IPO rounds of financing including valuation and exit considerations?
