Practice Description
Eric Rothman has experience in a broad range of matters, including assisting life sciences companies with licensing transactions, distribution and supply arrangements, product acquisitions, joint ventures, strategic alliances and corporate partnering, along with experience in structured finance and securitization arrangements, antitrust, corporate restructuring, corporate compliance and disclosure, corporate governance and other general corporate matters. Mr. Rothman also assists high net worth individuals in connection with their closely held domestic and international corporations in similar corporate undertakings. In addition, Mr. Rothman advises on insurance regulatory, transactional and governance matters.
Representative Matters
- Represented Interconexión Eléctrica S.A. E.S.P. (ISA) in connection with its acquisition of a controlling interest in Cintra Chile Ltda., a company formerly controlled by the Ferrovial Agroman Group that operates five major toll-road concessions in Chile.
- Represented Pan American Energy LLC, Argentine Branch, in connection with the establishment of a $1.2 billion Rule 144A/Regulation S Global Note Program registered for public offering in Argentina.
- Represented Gas Natural de Lima y Callao S.A., a Peruvian natural gas distribution company, in its contemplated secured financing for the expansion of Lima’s natural gas distribution system.
- Currently representing a corporate trustee in connection with Lehman Brothers structured products
- Represented Barclays Capital Inc. as dealer manager in connection with the debt restructuring consisting of an exchange offer and restructuring consent solicitation of Transportadora de Gas del Norte S.A., an Argentine operator of natural gas pipelines.
- Advising and representing a major international copper industry trade association.
- Advising and representing personal residential property, flood and builders risk insurer on regulatory and corporate governance matters.
- Represented a major investment bank in acquisition of a multi-state life insurance company.
- Advising and representing both domestic and international pharmaceutical companies in connection with various licensing agreements, distribution and supply arrangements, joint ventures, product acquisitions, authorized generic agreements, corporate restructuring, corporate governance and other various corporate matters.
