Practice Description
Ted Markson advises corporations and partnerships on the U.S. Federal income tax aspects of domestic and international transactions. His experience includes mergers and acquisitions, dispositions, and joint ventures; financial products and structured financings; and capital markets transactions. Mr. Markson's clients include financial institutions and other businesses in the U.S. and abroad. He regularly advises private investment funds on a range of organizational and transactional matters.
Mr. Markson has worked with clients to develop innovative financial products. Among the notable transactions in which he has been involved are the first issuances of hybrid Tier 1 capital securities issued by subsidiaries of banks in Japan (Industrial Bank of Japan), France (Société Générale), Italy (Banca Intesa) and Switzerland (UBS). He has represented a variety of investment and commercial banks in complex cross-border financings.
Mr. Markson is also a member of Chadbourne's award-winning renewable energy practice, representing investors and developers in tax-advantaged financing of projects generating electricity from wind and solar energy.

- Represented The Goldman Sachs Group in its acquisition of Cogentrix Energy, Inc. and the acquisition by Cogentrix of the merchant power assets of National Energy & Gas Transmission, Inc.
- Represented Goldman, Sachs & Co. in connection with the restructuring of Long Term Capital Management L.P.
- Represented Morgan Stanley in connection with its investment in a portfolio of solar electric generating assets.
