Practice Description
Dana Frix is a partner in Chadbourne & Parke LLP’s corporate department and is the Chair of the Firm’s communications, media and technology practice group.
For twenty years Dana has focused on corporate, regulatory and anti-competition matters involving communications, media and information technology companies. Mr. Frix represents media interests in programming matters and also represents companies in administrative and civil litigation matters, specializing in those involving public policy issues arising from Federal Communications Commission and Federal Trade Commission policy issues. He also represents financial service firms on investments in the communications and media sectors.
Representative financial sponsor clients include hedge funds, private equity firms, bondholder groups, and unsecured creditor committees. Company clients include cable companies, domestic and foreign telephone companies, programming networks, satellite providers, wireless operators, fiber optic communications providers, content providers, marketing companies, tower companies, and hardware and software companies.
Mr. Frix works closely with the firm's intellectual property practice.
Representative Matters
Mr. Frix’s recent experience includes representing:
- a private equity fund in the acquisition of a national cable programming network
- a top-25 U.S. cable provider as an outside general counsel advising on numerous matters including franchise matters, media programming concerns such as retransmission consent, and unfair competition matters
- a committee of bondholders on public policy and regulatory issues relating to the pre-arranged financial restructuring of a top-10 U.S. cable operator
- a publicly-traded telecommunications company in four strategic acquisitions increasing the size of the company tenfold, as well as regulatory matters including with regard to federal litigation matters
- private equity firms with respect to foreign ownership and attribution issues arising in media transactions
- a committee of bondholders with regard to interests in a multi-billion dollar rural telephone company
- successful appeal to the U.S. Court of Appeals of certain FCC rules imposing substantial limitations on commercial activities of a telecommunications client
- a new media marketing company in a multi-year investigation by the Federal Trade Commission
- multiple clients on variety of federal Universal Service Fund, E-Rate and Telecommunications Relay Service Fund matters, including matters contested in federal courts
- an informal committee of bondholders in the reorganization of one of the largest local telephone companies in the U.S.
- a satellite-based services provider serving the transportation industry as an outside general counsel
- communications equipment manufacturers on intellectual property, regulatory and commercial transactional matters
- content and information technology providers on commercial transactions
- new-media marketing companies on commercial transactions, public policy and regulatory matters, and administrative litigation
- more than 50 wireline and wireless communications and cable companies on corporate, commercial, public policy and administrative litigation matters
