Practice Description

Douglas Fried represents numerous sponsors, equity investors and lenders in connection with transportation, infrastructure and energy projects in the United States and abroad, including Latin America, the Middle East and India. His practice includes the representation of such entities in connection with the development and financing of new projects, the privatization of existing assets, public-private partnerships, the workout and restructuring of troubled projects, companies and transactions, and sales and acquisitions. Mr. Fried was the lead partner representing the sponsors for the Northwest Parkway in Colorado and the international lenders for the Cross Israel Highway Project, the first toll road project in Israel, both of which were named as “Deals of the Year” by various publications. For more than a year he lived in India, representing both U.S. and Indian developers of independent power projects.

Representative Matters

  • Representation of a consortium in connection with the bidding process regarding PR-22, the José de Diego Highway in Puerto Rico.
  • Representation of a company formed by Brisa and CCR in connection with the concession to operate and maintain the Northwest Parkway Toll Road in Colorado and related financings. This deal was honored as "North American Transport Deal of the Year" for 2007 by Project Finance magazine.
  • Representation of a consortium bidding to develop, design, construct, finance, operate and maintain the I-595 Corridor Improvements Project in Florida.
  • Representation of a consortium bidding for the concession to develop, design, construct, finance, operate and maintain the Port of Miami Tunnel Project.
  • Representation of the international lenders in connection with the financing of the $1.4 billion Cross Israel Highway. The Cross Israel Highway was the country’s first toll road. As Israel’s first project financed infrastructure project, this deal was honored as a "Deal of the Year” by both Project Finance magazine and Project Finance International.
  • Preparation of a report and analysis for a consortium of companies regarding the U.S. toll road industry.
  • Representation of a group of institutional bondholders of PG&E National Energy Group, Inc. in connection with the attempted out-of-court restructuring of the company and the subsequent representation of the Official Noteholders Committee in NEG’s Chapter 11 case.
  • Representation of the lenders in connection with the workout and restructuring of the Orinoco Iron Project, a hot-briquetted iron project in Venezuela of approximately $1 billion. The syndicate of lenders includes major commercial banks and financial institutions from Europe, the United States and Asia.
  • Representation of the syndicate of lenders in connection with the original financing and subsequent workout of the dual-currency financing for the Duqueco Hydroelectric Project in Chile. The financing involved the provision of Chilean Peso denominated loans and U.S. dollar denominated loans. The workout included the restructuring of the financing documents, the provision of additional equity, the settlement of disputes with the project sponsors and the settlement of disputes with the contractors involved in the project.
  • Representation of the project company Puentes de Literal and sponsors in connection with the $374.2 million financing of the Rosario-Victoria toll bridge project in Argentina.
  • Representation of a large independent power producer in a multi-billion dollar bid for a U.S. utility, and of investors and lenders in numerous bids for various types of assets, many in excess of $1 billion.
  • Representation of the purchaser in the acquisition of The Wing Group, Ltd.
  • Representation of lenders and developers in numerous transportation, power, agricultural, waste and other infrastructure projects.

Mr. Fried was listed in Chambers Global – The World’s Leading Lawyers for Business (2008) and Chambers USA - America's Leading Lawyers for Business (2008) for his work in project finance and in Euromoney’s Guide to the World’s Leading Project Finance Lawyers (2008).

Activities and Affiliations

Mr. Fried is a member of the American Bar Association. He has lectured on project financing and on the structuring and other aspects of public-private partnership projects in the transportation industry at seminars and conferences in the United States, Asia and other locations.
