Corporate/Transactional

We represent private and publicly traded companies on a wide array of corporate and transactional matters. Our attorneys have broad corporate and transactional backgrounds that enable them to advise clients on corporate formation issues, corporate governance, securities laws, mergers and acquisitions, financing and general contract matters. We also serve as outside general counsel for companies and actively assist their management teams with the day-to-day operations of their business from a legal perspective.

Our corporate attorneys also have extensive knowledge of the various financing instruments available to our clients, including private placements, public offerings, and secured financings. We have successfully closed public and private financings for our clients' operations and expansion plans. We have also successfully negotiated and closed secured term loans and revolving credit facilities for our clients. We also work closely with our clients' finance and legal departments to oversee the ongoing management of and compliance with their credit facilities.

Recently, we have assisted our clients in closing transformative mergers and acquisitions, obtaining financing for their working capital and expansion needs and working with their in-house departments on various special projects and routine legal matters. We also work closely with the Employment Practice Group on matters involving employment agreements, incentive plans and other human resource issues.
