Representative Matters
- Represented Bloom Energy Corporation in connection with tax equity and debt financing for a series of proprietary fuel cell power generating systems to be installed at East Coast locations.
- Represented Grupo ACS and Banco Santander, S.A. as equity investors in the 110 MW Tonopah thermosolar electric generation project in Nevada being developed by SolarReserve. Debt financing was provided by the US Department of Energy.
- Representation of a group of domestic and international lenders in the $1.5 billion senior secured debt financing for the Ruby Pipeline Project, an approximately $3 billion greenfield natural gas pipeline sponsored by El Paso Corporation and Global Infrastructure Partners.
- Representation of a private equity fund in connection with the purchase of approximately $45 million of senior secured notes, the proceeds of which will be used to finance the construction of a wind farm in Idaho.
- Represented a turbine manufacturer in the negotiation of a $50 million working capital credit facility.
- Representation of Siemens Financial Services, Inc. in connection with the financing of Cannon Power Corporation's Windy Flats 262 MW wind project located in Klickitat County, Washington. The project structure contemplates a cash grant from the U.S. Government.
- Representation of Siemens Financial Services, Inc. in connection with the negotiation of a $50 million term loan to an upstream project holding company.
- Represented the lenders in connection with El Paso Corp.'s credit facility supporting construction of its approximately 190-mile Elba Express interstate natural gas pipeline.
- Represented Horizon Wind Energy in connection with tax equity financings for multiple wind farms in the United States.
