Practice Description

Andrea Satty’s practice focuses principally on corporate and project finance transactions in the energy industry. She represents major energy companies, private equity firms and financial institutions on numerous corporate and securities transactions and financings including mergers and acquisitions, capital market transactions and greenfield development. Ms. Satty has experience with independent power, pipeline and other industrial and infrastructure projects. She also has represented sponsors and financial institutions in workouts and other bankruptcy-related transactions.

Representative Matters

  • Represented the lenders on the $1.5 billion financing of the $3 billion Ruby natural gas pipeline, sponsored by El Paso and Global Infrastructure Partners, which was named the 2010 “North American Oil & Gas Deal of the Year” by Project Finance and 2010 “Oil and Gas Deal of the Year in The Americas” by Project Finance International.
  • Represented GDF Suez North America on its investment in and on the $1.5 billion construction club financing of Astoria II, a 550MW combined cycle, natural gas-fired power station located in Queens, New York which was named 2009 “Power Deal of the Year in The Americas” by Project Finance International and 2009 “North American Single Asset Power Deal of the Year” by Project Finance.
  • Represented El Paso Corporation and Cheyenne Plains Gas Pipeline Company, LLC in the refinancing of Cheyenne Plains, El Paso Corporation’s 380 mile natural gas pipeline running from Wyoming to Kansas, which has been recognized as the “2004-5 Pipeline Project of the Year” by The Pipeliners Association of Houston, a trade association of members of oil and gas companies. The award was announced in the Pipeline Oil & Gas Journal.
  • Represented El Paso in its Cedar Brakes power revenue securitization of $431.5 million senior secured bonds that monetized the cash flow generated by mirror power purchase agreements of the power plants located in Mulberry and Orange, Florida, which was named 1999 “Hybrid Deal of the Year” by Project Finance.
  • Represented the lenders in GWF Energy’s $305 million construction and term financing that will fund the conversion of the 169 MW Tracy peaker plant to a 314MW combined cycle facility.
  • Represented the lenders in connection with El Paso Corp.'s credit facility supporting construction of its approximately 190-mile Elba Express interstate natural gas pipeline.
  • Represented the lenders in connection with GenPower Holdings’ $130 million construction financing for the Dunkard Creek water treatment facility which will service Longview Power, LLC's approximately 769MW coal-fired power generation facility being developed in Monongalia County, West Virginia.
  • Representation of international energy company in connection with potential acquisition of power plants in New York, New Jersey and Massachusetts.
  • Representation of investment bank in connection with potential acquisition of power plant portfolio in Texas.
  • Representation of sponsor in connection with potential acquisition of portfolio of power plants in the Southeast.
  • Representation of major energy company in connection with divestiture of its power portfolio.
  • Representation of major energy company in connection with potential acquisition of pipeline company.
  • Representation of lenders in connection with acquisition financing of water facility.
  • Representation of lenders in connection with acquisition financing of gas storage facility.

  • Representation of issuer in securitization of receivables from a restructured power purchase agreement with a major U.S. utility.
  • Representation of consortium developing and financing a power project in India, one of the first projects to achieve financial closing under the India power project initiative.
  • Representation of lender in connection with the U.S. Export-Import Bank-supported project financing of a geothermal power plant in the Philippines.
  • Representation of lenders in connection with financing for a petrochemical facility in Argentina.
  • Representation of a group of U.S. utility investors in the acquisition of a plant in the United Kingdom.
