Practice Description

Agnieszka Klich's practice focuses on international energy and infrastructure projects. She advises on the acquisition, development and financing of such projects throughout the world with a focus on renewables, power and water, oil and gas and mining.

Ms. Klich has advised purchasers, vendors, lenders, developers and equity investors on many complex projects (several of which have been named “Deal of the Year” by leading industry journals).

Representative Matters

Ms. Klich's experience includes representing clients in a number of transactions involving the acquisition or disposal of assets and/or shares in the various energy sectors. The following are recent experiences:

  • Barka 3/Sohar 2: Representing GDF SUEZ SA and other sponsors in the bid to build and finance the Barka 3 and Sohar 2 independent power projects in the Sultanate of Oman.
  • Shuweihat 2 IWPP: Advising the winning bidder on the development and financing of this project in the Emirate of Abu Dhabi.
  • South Africa: representing GDF SUEZ in the effort to develop and finance the peaking power projects in the Republic of South Africa.
  • Jordan Rail: representing the Government of Jordan in an effort to privatise the railway system in Jordan.
  • Heron II: representing the borrower (owned by GDF SUEZ SA and GEK Terna SA) on the development and financing of a merchant power project in Greece.
  • Elpedison SA: representing Elpedison (owned by Hellenic Petroleum and Edison) on various operation and financing matters relating to the Thessaloniki and Thisvi power projects in Greece.
  • Koza Gold: Representing the Turkish gold mining company in a 144A offering.
  • Ciner Group/Park Holding: representing Park Holding and its affiliates in power plant and ship financings in Turkey.
  • Airports financing: representing the borrower (owned by TAV Holdings) in the development and financing of airports in the former Yugoslav Republic of Macedonia.
  • Al Qatrana: Advised the lenders (Islamic, ECA, multilateral and commercial) in connection with the development and financing (by Xenel and KepCo) of this IPP in Jordan.
  • Teesside: Represented Electrabel SA (a subsidiary of Suez SA) and Gas de France in the acquisition of the 1,875 MW power station at Teesside, England.
  • Taweelah A1: Advised Gulf Total Tractebel Power Company and its shareholders in the expansion of the Taweelah A1 IWPP and the amendment and restatement of its project and financing documentation.
  • ISTP 2: Advising Compagnie Generale des Eaux and Besix S.A. in the acquisition, development and financing of the wastewater project in the Emirate of Abu Dhabi.
  • Advising Veolia in respect of its bid to assume management and operation of the Abu Dhabi electricity and water distribution systems.
  • Marafiq IWPP: Advised the sponsors and the borrower on the approximately $1.2 billion development and financing of this independent power and water facility in Saudi Arabia.
  • Advising Hellenic Petroleum in its oil exploration activities in Montenegro, Egypt and Libya.
  • Advising the sponsors on the development and financing of the $475 million Baymina BOO 700-MW IPP project in Ankara, Turkey. Elected “EMEA Power Deal of the Year” 2003 by Project Finance International magazine.
