Practice Description

Agnieszka Klich's practice focuses on international energy and infrastructure projects. She advises on the acquisition, development and financing of such projects throughout the world with a focus on renewables, power and water, oil and gas and mining.

Ms. Klich has advised purchasers, vendors, lenders, developers and equity investors on many complex projects (several of which have been named “Deal of the Year” by leading industry journals).

Representative Matters

Ms. Klich's experience includes representing clients in a number of transactions involving the acquisition or disposal of assets and/or shares in the various energy sectors. The following are recent experiences:

  • Representing ACWA Power on the bid for the Shuweihat 3 Independent Power Project in Abu Dhabi.
  • Shuweihat 2 IWPP: Advising the winning bidder on the development and financing of this project in the Emirate of Abu Dhabi.
  • Taweelah A1. Advised Gulf Total Tractebel Power Company and its shareholders in the expansion of the Taweelah A1 IWPP and the amendment and restatement of its project and financing documentation.
  • ISTP 2. Advising Compagnie Generale des Eaux and Besix S.A. in the acquisition, development and financing of the wastewater project in the Emirate of Abu Dhabi.
  • Solid Waste: Advising sponsors (including the Kharafi Group and Italy’s AMA) in the acquisition, development and financing of Abu Dhabi’s solid waste system.
  • Advising Suez-Tractebel S.A. in its bid for the acquisition, development and financing of this first IWPP in the Emirate of Fujairah, sponsored by ADWEA.
  • Advising Veolia in respect of its bid to assume management and operation of the Abu Dhabi electricity and water distribution systems.
  • Advised Suez Energy and International power on the development and financing of the Taweelah B IWPP Project.
  • Al Qatrana. Currently advising the lenders (Islamic, ECA, multilateral and commercial) in connection with the development and financing (by Xenel and KepCo) of this IPP in Jordan.
  • Advised Compagnie Generale des Eaux in the acquisition, development and financing of the water desalination project in the Sultanate of Oman
  • Represented Electrabel SA (a subsidiary of Suez SA) and Gas de France in the acquisition of the 1,875 MW power station at Teesside, England.
  • Raz Azzour IWPP: Advising a bidder on the development and financing of this project in the Kingdom of Saudi Arabia. 
  • Yanbu IWPP: Advising a bidder on the development and financing of this project in the Kingdom of Saudi Arabia. 
  • Advising a consortium of bidders on the approximately $1.2 billion development and financing of an IWPP facility in Saudi Arabia. 
  • Al Ezzel IPP: Advising SEI during the bid phase for the development and financing of this project in the Kingdom of Bahrain. 
  • Acting for Delta Oil on the development of a large petrochemical plant in Saudi Arabia, including advising on commercial and construction contracts. 
  • Advising sponsors in the development and financing of a bioethanol project in Holland. 
  • Advising Gulf Total Tractebel in its ongoing operational and financing matters. Previously, advising the sponsors Total S.A. and Suez-Tractebel S.A. on the acquisition and expansion of the Taweelah A1 power and desalination facilities in Abu Dhabi and related project financing. It was the largest power and water deal in the Middle East at the time, and was accorded Year 2000 “Deal of the Year” status by the leading journals in the projects industry. 
  • Advising Hellenic Petroleum in its oil exploration activities in Montenegro, Egypt and Libya. 
  • Advising the sponsors on the development and financing of the $475 million Baymina BOO 700-MW IPP project in Ankara, Turkey. Elected “EMEA Power Deal of the Year” 2003 by Project Finance International magazine. 
  • Advising Suez-Tractebel S.A. in its bid for the acquisition, development and financing of this first IWPP in the Emirate of Fujairah, sponsored by ADWEA. 
  • Advising the sponsor group, Veolia Water and Mitsui & Co., on the development and financing of a reverse osmosis desalination facility on 50 MIGD reverse osmosis (RO) desalination plant at Taweelah, Abu Dhabi’s first independent water project. 
  • Advised a consortium of bidders on the approximately $2 billion development and financing of an IWPP facility in Saudi Arabia.
