Golden Telecom, Inc.

Chadbourne & Parke represented Golden Telecom, Inc. in its $4.2 billion acquisition by Vimpel-Communications. The deal, marking the largest acquisition by a U.S. publicly listed Russian company of a U.S. public company.

The deal involved VimpelCom having its indirect wholly owned subsidiary, Lillian Acquisition, Inc., merge with and into Golden Telecom. Before the merger, Lillian Acquisition acquired over 90% of the shares of Golden Telecom in a tender offer at $105 per share.

As a result of the merger, Golden Telecom is now an indirect subsidiary of VimpelCom. Golden Telecom is a leading facilities provider of integrated telecommunications and Internet services in major cities throughout Russia and the Commonwealth of Independent States.
