Rule 144A Offering

ISA do Brasil S.A.

Chadbourne represented ISA do Brasil S.A. in a $554 million Rule 144A offering to refinance the bridge financing obtained by ISA to fund its acquisition of a controlling interest in Companhia de Transmissão de Energia Elétrica Paulista (CTEEP), the second largest power transmission company in Brazil. The offering consisted of a $200 million tranche of 7.785% 5-year notes and a $354 million tranche of 8.8% 10-year notes. The notes were listed on the Luxemburg Stock Exchange. The initial purchasers of the notes were JPMorgan Securities Inc., ABN AMRO Incorporated and ABN AMRO Bank, N.V.
